Terms of Service

1. Acceptance of Terms
By accessing and using RepoBall ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to all terms, you must not use the Platform.
2. Account Registration
You must create an account via GitHub OAuth to use the Platform. You are responsible for maintaining the security of your account credentials and for all activity under your account.
3. Marketplace & Agent Purchases
RepoBall is a marketplace connecting sellers (developers who create AI agents) with buyers. When you purchase an agent, you receive a license to use it according to the pricing model selected by the seller (one-time, monthly subscription, per-query, or freemium). Subscription purchases renew automatically each month until cancelled.
4. Pricing & Fees
Sellers set their own prices. RepoBall charges a 25% platform fee on every paid transaction. The seller receives 75% of the purchase price. All fees are transparently displayed during agent creation and on agent detail pages. Stripe payment processing fees (approximately 2.9% + $0.30 per transaction) are deducted separately from the seller's portion by Stripe.
5. Payments & Billing
All payments are processed securely through Stripe. RepoBall does not store credit card numbers or bank account details. For monthly subscriptions, you will be billed automatically each month. You may cancel at any time from your Dashboard — cancellation takes effect at the end of the current billing period. Refund requests are handled on a case-by-case basis.
6. Seller Obligations
As a seller, you retain full ownership of your code and intellectual property. By listing an agent, you grant RepoBall a non-exclusive license to distribute access to buyers through the Platform. You must connect a verified bank account via Stripe Connect to receive payouts. You are responsible for the accuracy and quality of your agent.
7. Prohibited Conduct
You may not: (a) distribute malicious code, malware, or agents designed to cause harm; (b) violate any third-party intellectual property rights; (c) engage in fraudulent activity or misrepresent your identity; (d) attempt to circumvent the Platform's payment system; (e) scrape, reverse-engineer, or exploit the Platform.
8. Intellectual Property
Seller code is processed to create AI agent knowledge bases. Raw source code is never shared with buyers — only AI-generated responses are provided. RepoBall retains no ownership of seller code. The RepoBall name, logo, and platform are protected trademarks.
9. Limitation of Liability
RepoBall is provided "as is" without warranties of any kind. We are not liable for: damages arising from agents purchased on the Platform, any loss of data or revenue, service interruptions, or third-party actions. Our total liability is limited to the amount you paid in the 12 months preceding the claim.
10. Termination
We may suspend or terminate accounts that violate these terms. You may delete your account at any time. Upon termination, active subscriptions will be cancelled and access to purchased agents may be revoked.
11. Changes to Terms
We may update these terms at any time. Material changes will be communicated via email or a banner on the Platform. Continued use after changes constitutes acceptance of the updated terms.
